Allocait checks your holdings against rules you wrote. It does not give investment advice or recommend trades.
Every result is arithmetic on the numbers you give it. Allocait is not an investment adviser and you decide everything you do.
Disputes go to individual arbitration, with no class actions, unless you opt out within 30 days (Section 16). Consumers in the EU and UK keep their local rights.
Paid plans renew automatically until you cancel. You can cancel online in Settings (Section 11).
Our liability is limited (Section 13), and the Service is provided as is (Section 12).
This summary is not the contract. The full Terms below are. The provider is Kangaroo Labs LLC, an Arizona limited liability company doing business as RidgeXAI.
1. Who we are
These Terms of Service ("Terms") are a contract between you and Kangaroo Labs LLC, an Arizona limited liability company doing business as RidgeXAI. In these Terms, "RidgeXAI," "we," "us" and "our" mean Kangaroo Labs LLC. Allocait is a product of Kangaroo Labs LLC. "Service" means the Allocait website and app, its API, its MCP server and connectors, and anything else we provide under the Allocait name. "You" means the person who creates the account, or the one entity you tell us you act for.
Our Privacy Policy explains how we handle personal data, and you accept it with these Terms.
2. Accepting these Terms, eligibility and your account
You accept these Terms by ticking the box at sign-up that says you are 18 or older and agree to the Terms and Privacy Policy, or when we ask you to accept updated Terms. If you do not agree, do not create an account and do not use the Service.
You must be at least 18 years old. Allocait does not check your age. If we learn that an account holder is under 18, we will close the account, end any plan that is still billing and delete the account's data. If you believe a child has given us data, email privacy@allocait.app. If you use the Service for a company, you confirm that you can bind it.
When you tick the box, we record the version of these Terms and the Privacy Policy you accepted, the time, and that you confirmed you are 18 or older. We keep that record with your account, and we do not store an IP address or a browser identifier in it. If we publish new Terms that need your agreement again, we ask you the next time you sign in.
Give accurate sign-up details and keep them current. You are responsible for your credentials, your API keys and every connection you authorize, and for what happens under them. Tell us promptly at support@allocait.app if you think someone else has access. One person keeps one account unless we agree otherwise in writing.
3. What Allocait is, and what it is not
Allocait is software that checks the holdings you record against the rules you write. You enter or import your holdings, set your own ranges (such as a minimum and maximum for an asset class or a position), and the Service shows where you stand against those ranges. It also keeps research values you record, such as levels, notes and dates, and shows them back to you.
It does not execute trades, does not connect to any brokerage or bank account, and does not hold your funds or securities. This records the change in Allocait only. It moves no money and places no order. You tell Allocait what you hold, and it does arithmetic on that. It does not check your entries against any broker or custodian.
Words such as "compliance," "compliant," "violation," "in range" and "rebalance" in the Service describe only whether a number sits inside or outside a range you set. They are not a regulatory, legal, tax or suitability finding about you, your portfolio or any security. A rebalance preview calculates the share changes that, at the prices you supply or the quotes shown, would move a class to the target you set, or to the midpoint of your band when you set none. It is arithmetic on your own numbers, not a suggestion to make that trade.
4. Not investment advice
Allocait checks your holdings against rules you wrote. It does not give investment advice or recommend trades.
Allocait is not an investment adviser, broker-dealer, financial planner, tax adviser or fiduciary, and using it creates no advisory, fiduciary or professional relationship between you and us. Nothing in the Service is investment, legal, tax or accounting advice, an offer or solicitation to buy or sell any security, or a recommendation about whether any investment suits you.
We publish impersonal software. It runs arithmetic on the rules, holdings, prices and research values that you supply or choose, and returns the result. It does not know your goals, finances, risk tolerance, tax position or other accounts, and it never asks for them to tailor an answer. It makes no recommendation, judges no suitability, predicts no price and says nothing about whether a security is a good or bad investment. It does not propose numbers for your rules.
Every figure comes from your inputs. If an input is wrong, late or incomplete, the output is wrong too. Output states facts about your own rules, and a result that sits inside every range does not mean a change is advisable. Past results say nothing about future results. Investing involves risk, including the loss of the money you put in.
Allocait output states facts about the user's own rules. It is not advice or an approval.
Computed from this rule set's saved ranges, the holdings Allocait has recorded, and the prices you supplied. Taxes, fees, liquidity and accounts outside Allocait are not considered.
Each class aims at your target, or the midpoint of your band when you set none. The gap is split across its holdings by current value, at the quotes shown. Taxes, fees and your other accounts are not considered. This is arithmetic on your own bands, not a suggestion to buy, sell or hold.
A result inside every range does not say a change is advisable. Allocait cannot approve, stop or place an order.
You alone decide what to do with any result, and you alone bear the outcome. Talk to a licensed professional who knows your circumstances before you act.
5. Your inputs and your decisions
You are responsible for the accuracy and completeness of everything you enter, import, record or have a connected app send: holdings, share counts, prices, cash, ranges and research values. Check each result against your own records before you rely on it. The Service does not consider taxes, fees, liquidity, market hours or accounts held elsewhere. You are responsible for every investment decision you make and for whether it complies with the laws, contracts and account rules that apply to you.
6. Market data and other third-party services
Prices shown in the Allocait app come from a third-party market data provider, Twelve Data. They are stored quotes, may be delayed, and may be inaccurate or incomplete. They are provided for information only, so you can read your own account, and for no other purpose. They come "as is" from the provider, and we and the provider make no promise about their accuracy, completeness or timeliness. You may not redistribute, resell, republish, scrape or store them to build a data product or to train a model.
The Allocait API and MCP server do not return market data. Every price an integration receives from them is one that integration supplied, and every value, check result or rebalance preview they compute uses those supplied prices. The one exception is a connection you sign in to yourself: it may also return how your holdings and classes sit against your own ranges, as percentages read from our last stored quote at the time shown, and never as a price or a dollar amount. Allocait is not a source of price data for any automated system.
The Service works with services we do not control, including our payment provider, our market data provider, our hosting and email providers, and the AI assistants and apps you connect. We do not endorse them, are not responsible for them, and are not a party to your dealings with them. Their own terms and privacy practices apply to your use of them.
7. AI assistants, connectors and the API
You can connect AI assistants and other software, such as Claude, ChatGPT and other clients that use MCP or our API, to your account. When you do, you authorize that software to act for you under your credentials. What it does is what you did. This includes reading your data, and, on a connection that can write, changing or deleting it.
The assistant's provider (for example Anthropic or OpenAI) is a separate party with its own terms and privacy practices. We do not control it and are not responsible for it. AI output can be wrong, can misreport Allocait's results, and can invent numbers. The advice-free rules in Section 4 apply to output that software reads exactly as they apply to output you read. If an assistant tells you to buy, sell or hold something, that did not come from Allocait.
You are responsible for the prices your integrations supply and for the decisions made from the results. You can review and revoke connections and API keys in Settings, and you should revoke any you no longer use. We may rate-limit, suspend or end a connection that misuses the Service.
8. Our license to you, and its limits
Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable license to use the Service for your own portfolio research and rule-checking, for as long as your account is in good standing. Allocait and its software, design, text and trademarks belong to Kangaroo Labs LLC or its licensors. We keep all rights we do not expressly give you, and you get no right to use our branding without our written consent.
You may not copy, sell, sublicense or lease the Service; build a competing product from it; remove notices from it; or reverse engineer it, except where the law lets you despite this limit. We may change, add or remove features, and may discontinue the Service, at any time. We have no duty to provide support, though we try to help at support@allocait.app.
9. Acceptable use
You agree not to:
attempt to gain unauthorized access to our systems, another person's account, or data that is not yours;
interfere with or disrupt the Service or the infrastructure it runs on;
circumvent rate limits, per-account caps or the market data budget, including by opening several accounts or creating accounts automatically;
share, sell or lease your account or API keys, or let others use them;
scrape the Service, or use its output or market data to build a data product, to train a model, or to redistribute prices;
upload malware or content you have no right to upload, or content that is unlawful;
impersonate another person or misstate who you are;
present Service output to others as investment advice, or as if it came with our approval; or
use the Service for an unlawful purpose or in breach of the sanctions rules in Section 20.
We may suspend a connection, key or account at once if we reasonably believe it breaks this section or threatens the Service or other people.
10. Your content, feedback, samples and early features
You keep ownership of the portfolio, holdings, rules and research values you put into the Service ("Your Content"). You give us a limited, worldwide, non-exclusive, royalty-free license to host, store, back up, process, transmit and display Your Content only as needed to run and secure the Service for you. That includes passing it to the service providers listed in our Privacy Policy, and to the apps, webhooks and assistants you connect. You confirm you have the right to give that license. You can export your setup and rules in the app and delete your account in Settings. Our Privacy Policy covers how long data is kept after that.
If you send us feedback or ideas, you give us a non-exclusive, worldwide, perpetual, royalty-free license to use them without payment or credit. Do not send portfolio data or confidential material in feedback.
Sample portfolios, examples and illustrations are hypothetical. Illustrative example. The figures are hypothetical, not a recommendation. A name or ticker in an example does not recommend it. Features marked as a preview or beta may change or stop working without notice.
11. Subscriptions, billing and refunds
Who sells. Our payment provider, Polar Software, Inc. ("Polar"), is the merchant of record and authorized reseller for paid plans. Polar takes your payment, collects and remits sales tax or VAT, and issues receipts and invoices. We never receive or store your card number. Polar's Buyer Terms govern the payment. These Terms govern your use of the Service, and if the two conflict on that, these Terms control. Prices are in US dollars; tax is worked out at checkout and shown on your receipt.
Automatic renewal. Paid plans renew automatically for the same billing period (monthly or annual, as you chose) at the price then in effect, and your payment method is charged each time, until you cancel. If a plan starts with a free trial, it converts to a paid plan when the trial ends and your payment method is charged then, unless you cancel before the trial ends.
What checkout asks. Before it opens the payment page, Allocait shows the renewal terms for the plan you chose and two unchecked boxes. The first is your agreement to those renewal terms. The second asks us to start your access now and, for a consumer in the EU or UK, acknowledges what that does to the right to withdraw described below. The button stays off until both are ticked.
Trial. A card is required to start a trial. The trial length and the price that follows are shown before you confirm. Settings shows the date of your first charge. We do not promise a reminder before it, so note the date. Switching plans during a trial does not end the trial. The trial continues to its original end date, and the price of the new plan shown when you switch applies from then.
How to cancel. Cancel online in Settings, under Billing, with Cancel plan and a confirmation. You do not need to contact anyone. Your access continues to the end of the trial or the period you have paid for, and nothing is charged after it. Until then, Keep my plan undoes the cancellation. We do not refund the unused part of a period you have paid for, except as stated below or where the law requires. Deleting your account in Settings also ends any plan that is still billing.
Price changes. We may change prices. We will give you at least 30 days' notice by email to your account address or in the app, and the new price applies from your first renewal after that notice. You can cancel before then.
Money-back guarantee, first charge only. If you ask us within 30 days of your first paid charge, we will refund that charge in full to your original payment method through Polar. This applies to either plan and either billing period, once per account. To ask, email support@allocait.app. Renewals are not refundable, except where the law requires. We may end or change this guarantee for future purchases, and it never limits a right you have by law.
Consumers in the EU and UK. If you are a consumer there, you may have a legal right to withdraw from a distance purchase within 14 days. If checkout asks you to confirm that you want access to start at once and that you understand how that affects the right, and you confirm it, the law may reduce or end your right to withdraw, and if you do withdraw you may owe a proportionate amount for access already given. Nothing in these Terms removes a withdrawal right that cannot lawfully be removed. The guarantee above is in addition to any legal right.
12. Disclaimer of warranties
THE SERVICE, ITS OUTPUT AND ALL MARKET DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE OR ERROR-FREE, THAT ANY RESULT WILL BE ACCURATE FOR EVERY PORTFOLIO OR RULE SET, THAT ANY THIRD-PARTY DATA OR AI ASSISTANT IS ACCURATE, OR THAT THE SERVICE WORKS WITH YOUR DEVICES OR SOFTWARE.
Some places do not allow some of these exclusions, so some may not apply to you. Where a warranty cannot lawfully be excluded, it lasts as short a time as the law allows.
13. Limitation of liability
TO THE FULLEST EXTENT THE LAW ALLOWS, KANGAROO LABS LLC, ITS MEMBERS, OFFICERS, EMPLOYEES AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, TRADING OR INVESTMENT LOSSES, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, INCLUDING ANY DECISION MADE USING THE SERVICE, EVEN IF WE WERE TOLD THEY WERE POSSIBLE.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) WHAT YOU PAID FOR THE SERVICE, THROUGH ANY SELLER, IN THE TWELVE MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM, AND (B) US$100. MORE THAN ONE CLAIM DOES NOT RAISE THIS LIMIT.
These limits do not apply to liability that the law does not allow us to limit, including liability for fraud, gross negligence or willful misconduct, death or personal injury, and any right you have as a consumer under mandatory law, such as in the EU or UK. Some places do not allow limits on certain damages, so some of this may not apply to you. Nothing here limits your rights under data protection law.
14. Indemnity and release
To the extent the law allows, you will defend and hold Kangaroo Labs LLC harmless from third-party claims, and the resulting losses and reasonable costs, that arise from your breach of these Terms, your violation of law, Your Content, or software you connect to your account. This does not apply to a claim caused by our own breach or misconduct, and it applies to consumers only as far as the law of their home country permits.
If you have a dispute with another user, a service provider or a third-party service you connect, you release us from claims arising from it, to the extent the law allows.
15. Ending your use, suspension and survival
You can stop using the Service and delete your account in Settings at any time. We may suspend or end your access if you breach these Terms, if your payment fails, if the law requires it, or if we reasonably believe your use puts the Service or other people at risk. Where it is reasonable, we will tell you why. When your access ends, your right to use the Service ends. Our Privacy Policy explains what happens to your data.
Sections 4, 5, 6, 8 (ownership), 10, 12, 13, 14, 16, 17 and 21, and amounts you owe, keep applying after your access ends.
16. Resolving disputes: arbitration and class action waiver
Please read this section. It affects your rights. Unless you opt out, you and we agree to resolve disputes by individual arbitration, and you give up the right to go to court (except in small claims court), to a jury, and to join a class action.
Talk to us first. Before starting a claim, send a written notice to legal@allocait.app that describes the dispute and what you want. We will try to settle it informally for 60 days. A claim may start after that if it is not settled.
Arbitration. Any dispute between you and Kangaroo Labs LLC about the Service or these Terms, other than the ones listed below, will be settled by binding arbitration under the American Arbitration Association's Consumer Arbitration Rules (www.adr.org). The Federal Arbitration Act governs this section. The arbitrator decides all issues, including whether this section applies, except that a court decides disputes about class waiver and mass filings. Hearings may be by phone or video, or near where you live. Where those rules require us to pay fees, we pay them.
Class action waiver. Claims may be brought only in your own name, not as a plaintiff or class member in any class, collective or representative action. The arbitrator may not combine claims or award relief to anyone but you. If this waiver is found unenforceable for a claim, that claim goes to court instead, and the rest of this section still applies.
Not covered. Either side may sue in small claims court if the claim qualifies, and either side may ask a court for urgent relief to stop misuse of its intellectual property or of the Service. Claims that the law says cannot be arbitrated are not covered either. Your dealings with Polar are under Polar's terms, not this section.
Many similar claims. If 25 or more claims that are alike are filed by or with the same lawyers, the arbitration provider will group them in batches to be handled in turn, and fees are due as each batch proceeds.
Opt out. You may opt out of arbitration and the class action waiver within 30 days after you first accept these Terms. Email legal@allocait.app with your name, your account email and the statement "I opt out of arbitration." Opting out does not change anything else in these Terms.
Consumers outside the United States. If you are a consumer in the EU, UK or another place where mandatory law gives you the right to use your local courts or forbids this section, this section does not apply to you, and you keep that right.
17. Governing law and courts
The laws of the State of Arizona, and applicable US federal law, govern these Terms and any dispute about the Service, without regard to conflict-of-laws rules. For any dispute that is not arbitrated, you and we submit to the exclusive jurisdiction of the state and federal courts in Maricopa County, Arizona, and, to the extent the law allows, waive trial by jury.
If you are a consumer, this does not take away protections of mandatory law in your country of residence, and nothing stops you from bringing a claim in your local courts where that law gives you the right.
18. Changes to these Terms
We may update these Terms. We change the "Last updated" date above each time. For a material change, we will email your account address or show a notice in the app at least 30 days before it takes effect, and we may ask you to accept the new Terms. If you do not agree, you can cancel before the effective date and your plan will not renew. A change the law requires, or one needed to protect the Service, can take effect sooner. After a change takes effect, using the Service means you accept the new Terms. Earlier versions are available on request at legal@allocait.app.
19. Notices and electronic communications
You agree to receive notices, agreements and billing information from us electronically, at your account email address and in the app. Keep your address current. You can withdraw this consent by deleting your account, but then you cannot keep using the Service.
Kangaroo Labs LLCc/o Northwest Registered Agent LLC4539 N 22nd St, Ste NPhoenix, AZ 85016United States
20. Sanctions and export, accessibility, copyright and trademarks
Sanctions and export. You confirm that you are not on a US sanctions list, are not in a country or region under US embargo, and will not use the Service in breach of US export or sanctions law.
Accessibility. We aim for the Service to be usable by everyone, and we work toward the Web Content Accessibility Guidelines 2.1, level AA. Some parts may not meet it yet. If something blocks you, email support@allocait.app and tell us what you were doing and what happened, and we will look into it.
Copyright. The Service stores each person's content privately and does not show one person's content to another. If you believe something on the Service infringes your copyright, send a notice to legal@allocait.app or to the address in Section 19. Include what the work is, where you found the material, your contact details, a statement that you believe in good faith that the use is not authorized, and a statement under penalty of perjury that your notice is accurate and that you own or act for the owner of the right.
Trademarks. Names of companies, products and securities, and ticker symbols, identify them and belong to their owners. Their use in the Service does not mean they sponsor, endorse or are affiliated with Allocait, and Allocait is not affiliated with or endorsed by Anthropic, OpenAI or any issuer named in an example.
21. General terms
These Terms are the whole agreement between you and us about the Service. They replace earlier agreements. Our marketing pages, documentation, directory listings and anything an AI assistant says are not part of the agreement and are not promises. If part of these Terms is unenforceable, the rest stays in force. If we do not enforce a right, that is not a waiver. You may not assign these Terms without our consent, and we may assign them in a merger, sale or reorganization. Neither side is liable for a delay or failure caused by events beyond its reasonable control. These Terms give no rights to anyone who is not a party, except that our licensors and providers may rely on the parts that protect them. You and we are independent parties.
